On May 22, 2009, ATC Technology Corporation issued a press release (a copy of which is attached as Exhibit 99) announcing that late on May 21, 2009 it received verbal indication from Honda of their intention to in-source the remanufacturing of automatic transmissions as early as the end of 2009. The remanufacturing of automatic transmissions for Honda accounted for approximately $52 million or 10% of ATC's 2008 revenues (approximately 29% of Drivetrain segment revenues).
