Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

The Board of Directors (the "Board) of Universal Health Services, Inc. (the "Company) today announced the election of Marc D. Miller as President of the Company. Mr. Marc Miller is the son of Alan B. Miller, the Company's Chairman of the Board and Chief Executive Officer who previously held the title of President as well. Mr. Marc Miller previously served as Co-Head of the Company's acute care division since 2007 and served as Vice President of the eastern region of the acute care division since 2003.

The Board also announced that Michael Marquez has been named President of the acute care division. Mr. Marquez previously served as Co-Head of the acute care division since 2007 and served as Vice President of the western region of the acute care division since 2000.
