Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 18, 2009, upon the recommendation of our CEO and with the approval of our
Compensation Committee, certain of our executive officers were awarded
discretionary bonuses for fiscal 2009 performance. These bonuses were awarded
from the $500,000 cash bonus pool established by our Board at the beginning of
fiscal 2009 from which our CEO, with the concurrence of the Chairman of the
Compensation Committee, could award discretionary bonuses for individual
performance. The named executive officers receiving such bonuses were Stephen B.
Solcher - $48,000 and James W. Grant - $52,000.
