(d) On May 13, 2009, PhotoMedex, Inc. (the "Company") entered into director indemnification agreements (each, an "Indemnification Agreement") with the following members of its Board of Directors: David W. Anderson, Stephen P. Connelly, Wayne M. Withrow and Leonard L. Mazur. Each Indemnification Agreement provides customary procedures regarding the defense of certain claims and the advancement of certain expenses. A copy of the form of Indemnification Agreement is attached to this Current Report on Form 8-K as Exhibit 10.1 and is incorporated herein by reference.

As previously disclosed, the Company issued a press release on May 14, 2009 announcing the Company's financial results for the quarter ended March 31, 2009 (the "Earnings Release"). The Company furnished a copy of the Earnings Release in its Current Report on Form 8-K filed with the Securities and Exchange Commission on May 14, 2009.
