On May 14, 2009, NPS Pharmaceuticals, Inc. ("NPS") held its Annual Meeting of Stockholders. At the Annual Meeting, NPS's stockholders approved an amendment to the company's 2005 Omnibus Incentive Plan (the "Plan") to increase by 1,800,000 the shares reserved for issuance under the Plan. The Plan, as amended and restated, is attached hereto as Exhibit 10.1.
