Item 2.02 Results of Operations and Financial Conditions.

On May 15, 2009 Solar EnerTech Corp. (the "Company") issued a press release announcing its financial results for the second fiscal quarter ended March 31, 2009. A copy of the Company's press release is attached hereto as Exhibit 99.1.
