At the annual meeting of stockholders of Investment Technology Group, Inc. (the
"Company"), held on May 12, 2009, the Company's stockholders approved an
amendment to the Company's 2007 Omnibus Equity Compensation Plan (the "Plan"),
to increase by 1,300,000 shares the number of shares of common stock reserved
and available for issuance under the Plan.
