Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 13, 2009, the Compensation Committee of the Board of Directors of
Conexant Systems, Inc. (the "Company"), in recognition of the importance of the
current outstanding level of performance by Scott Mercer, the Company's Chairman
and Chief Executive Officer, and his continuing role in providing guidance and
leadership to enhance the Company's strategic position, approved a
discretionary, one-time cash bonus of $250,000 for Mr. Mercer, payable by the
end of May 2009.
