Item 2.02. Results of Operations and Financial Condition.

On May 12, 2009, Schawk, Inc. (the "Company") announced certain preliminary estimates of its results of operation and financial condition for the quarter ended March 31, 2009, and updated certain previously announced estimates of its financial results for the year ended December 31, 2008. Attached as Exhibit 99.1 is a copy of the press release relating to the Company's preliminary financial results, which is incorporated herein by reference.
