Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 12, 2009, the registrant amended Article 5 of its Articles of Incorporation to increase the number of authorized shares of the registrant's common stock, par value $1.00 per share, from 75,000,000 to 200,000,000 shares. The amendment to Article 5 was previously approved and adopted by the registrant's shareholders at the annual meeting of shareholders held on April 28, 2009. The Amended and Restated Articles of Incorporation are attached hereto as Exhibit 3.1 and are incorporated in this Item 5.03 by reference.
