Item 2.02 Results of Operations and Financial Conditions.

On May 12, 2009, Rentech, Inc. issued a press release announcing that due to technical difficulties during its regularly scheduled conference call to review the Company's financial results for the fiscal quarter ended March 31, 2009, the Company has rescheduled a question and answer session with senior management. A copy of the press release is attached as Exhibit 99.1 to this report.
