Item 8.01. Other Events.

On May 11, 2009, Salix Pharmaceuticals, Ltd. issued a press release announcing that certain of its officers and directors have adopted predetermined trading plans to exercise Company stock options that expire beginning June 2010 in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, and with the Company's policies regarding stock transactions and ownership. A copy of this press release is attached as Exhibit 99.1.
