Item 8.01 Other Events.

On May 7, 2009, U.S. Bancorp issued a press release announcing the results of its Supervisory Capital Assessment by the Federal Reserve. After estimating the adequacy of U.S. Bancorp's capital base under certain hypothetical scenarios, the Federal Reserve concluded that U.S. Bancorp did not need any additional capital buffer. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
