Item 8.01 Other Events.
As previously disclosed, on April 28, 2009, William E. Redmond, Jr. had
withdrawn as a Company nominee for election as a director at the upcoming 2009
annual meeting of shareholders based on his determination that he could no
longer make the time commitment necessary to serve as a director of the Company.
On May 8, 2009, the Company issued a press release announcing that the board of
directors had nominated William R. Barker to replace Mr. Redmond on the
Company's slate of director candidates.
