Item 2.02 Results of Operations and Financial Conditions

On May 7, 2009 Hardinge Inc. issued a press release announcing the Company's first quarter 2009 results. The press release also announced that the Board of Directors declared a cash dividend of $0.005 per share on the Company's common stock. The dividend is payable June 10, 2009 to stockholders of record as of June 1, 2009. A copy of the press release is included as Exhibit 99 to this Current Report on Form 8-K.
