Item 5.02(b) Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On May 1, 2009, Srdjan Stankovic's employment as Executive Vice President, Chief Development Officer of Neurogen Corporation was terminated without cause. Under Dr. Stankovic's employment agreement, dated as of April 23, 2008, he was entitled to receive, and the Company has paid to him, a severance payment equal to twelve months of his $380,000 base salary.
