Item 1.01 Entry into a Material Definitive Agreement

General information
Phonak AG has and continues to develop, manufacture, and sell hearing systems using our spintronic medical sensors.

Description of the Terms and Conditions of the Agreement On May 1, 2009 we executed a Supply Agreement by and between us and Phonak. The agreement has a term of three years. The agreement establishes purchase forecasts, inventory requirements, ordering conditions, delivery time, performance indicators, requirements for handling corrective actions, terms relating to liability and indemnification, terms relating to intellectual property rights, terms relating to supplier indemnification, confidentiality obligations, and certain other terms and conditions.
