On May 1, 2009, the Company amended its By-laws, to provide the procedures pursuant to which the holders of twenty-five percent or more of the outstanding common stock may call a special meeting.

The By-laws, as amended, are filed as Exhibit 3.(ii) to this Form 8-K.
