Other Events, Financial Statements and Exhibits
On April 30, 2009, Fortune Brands, Inc. ("Fortune Brands" or the "Company")
filed an amendment to its certificate of incorporation (the "Certificate of
Amendment") with the Delaware Secretary of State. The Certificate of Amendment
was approved by the requisite vote at the Company's annual meeting of
stockholders on April 28, 2009. The Certificate of Amendment provides (i) for
the annual election of directors on a phase-in basis beginning in 2010, and
(ii) that once the Board ceases to be classified, directors may, consistent with
Delaware law, be removed with or without cause. A copy of the amended sections
of the Company's certificate of incorporation were previously filed as Exhibit A
to the Company's definitive proxy statement filed with the Securities and
Exchange Commission on March 9, 2009. A full copy of the certificate of
incorporation of the Company, as amended April 30, 2009, is filed as Exhibit 3.1
to this report and incorporated by reference herein.
