(b) Director Not Standing for Re-Election
On April 29, 2009, Richard Gary St. Marie requested that he not be nominated
to stand for reelection to the Board of Directors of Navarre Corporation (the
"Company") at the next annual meeting of the Company's shareholders currently
scheduled to be held on September 16, 2009 (the "Annual Meeting"). Mr. St. Marie
cited personal time commitments as the reason for his decision to not seek
reelection to the Company's Board of Directors. Mr. St. Marie will continue to
serve as a member of the Board of Directors until the Annual Meeting.
