(d)(3) On February 24, 2009, Merck & Co., Inc. (the "Company") filed a Current
Report on Form 8-K (the "Original Report") to report the election of Carlos E.
Represas to the Company's Board of Directors. The Original Report is hereby
amended pursuant to Instruction 2 to Item 5.02 of Form 8-K to report that on
April 28, 2009 the Company's Board of Directors appointed Carlos E. Represas as
a member of the Audit Committee and the Committee on Public Policy and Social
Responsibility of the Board.
