Item 8.01 Other Events.

On April 29, 2009, the board of directors of AGL Resources Inc. (the "Company") appointed Arthur E. Johnson as Lead Director. As more fully described in our corporate governance guidelines, available on the corporate governance page of the Company's web site at www.aglresources.com, the Lead Director's duties include: serving as chairman of the executive committee of the board of directors; presiding at the executive sessions of non-management directors; and overseeing the Company's policy on procedures for shareholders or other interested parties to communicate with the board of directors of AGL Resources Inc.

The Company's former Lead Director, D. Raymond Riddle, is expected to complete his final term as a member of the Company's board of directors as of the 2010 annual meeting of shareholders. This year's appointment of Mr. Johnson is intended to ensure a seamless transition for the Lead Director position.
