On May 1, 2009, the Registrant announced that Executive Vice President and Chief Financial Officer Lewis J. Critelli had been appointed to the Boards of Directors of the Registrant and its principal subsidiary, Wayne Bank, effective as of April 29, 2009. No determination has been made as to any committees on which he will serve. For further information, reference is made to the Registrant's press release, dated May 1, 2009, which is filed as Exhibit 99.1 hereto.
