Item 2.02 Results of Operations and Financial Condition.

On April 30, 2009, Black Hills Corporation (the "Company") issued a press release announcing first quarter financial results for 2009. Net income for the three months that ended March 31, 2009, was $26.4 million, or $0.68 per share, compared to net income of $16.8 million, or $0.44 per share for the same period in 2008. Income from continuing operations for the first quarter 2009 was $25.6 million, or $0.66 per share, compared to income from continuing operations for the first quarter 2008 of $11.8 million, or $0.31 per share.
