Item 8.01. Other Events.

On April 29, 2009, the Registrant issued a press release regarding the results of its annual meeting of shareholders held on April 28, 2009 and other information presented at the annual meeting. Further, as a result of its capital planning process, the Registrant announced the immediate suspension of its Dividend Reinvestment and Stock Purchase Plan until further notice. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated in this Item 8.01 by reference.
