Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 30, 2009 Charles T. Hopkins notified us that he has decided not to
stand for re-election to our Board of Directors. Mr. Hopkins, who has been a
member of our Board of Directors since 1999, cited personal reasons, and not any
disagreement with us, as the basis for his decision. Mr. Hopkins' term as a
director will expire at our 2009 Annual Meeting of Shareholders, which we expect
to hold on June 25, 2009.
