Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Walter Sobon, the Company's principal financial and principal accounting officer, currently intends to resign following the Company's emergence from Chapter 11. Mr. Sobon and the Company are currently discussing transition and compensation arrangements and as of the date of this report the actual effective date of Mr. Sobon's resignation has not been determined. Mr. Sobon is expected to continue to serve as the Company's Chief Financial Officer until his successor is named.
