On April 27, 2009, Northern Trust Corporation (the "Company") issued a press release announcing that it has commenced a public offering of $750 million of its common stock for sale to the public. Additionally, the Company announced that it intends to sell approximately $500 million of senior notes as soon as practicable. The consummation of the common stock offering is not conditioned upon the concurrent consummation of the offering of notes, and vice versa. A copy of the press release is attached hereto as Exhibit 99 and is incorporated into Item 7.01 of this Current Report on Form 8-K by reference.
