Item 2.02 Results of Operations and Financial Condition.

On April 21, 2009, Alaska Communications Systems Group, Inc. issued a press release announcing preliminary revenue results for its fiscal 2009 first quarter.

For the first quarter of 2009, Alaska Communications Systems announced that it expects to record a decline of 6,200 retail wireless subscribers in the first quarter of 2009. Alaska Communications Systems further announced that it expects first quarter revenues to be in line with a Street consensus of approximately $96 million and for EBITDA to exceed a consensus of approximately $31 million.
