Departure of Director
On April 21, 2009, Christine A. Varney resigned as a member of the Company's
Board of Directors as a result of her appointment by President Barack Obama as
an Assistant Attorney General for the Antitrust Division of the Department of
Justice. Ms. Varney's resignation was effective on April 21, 2009. Ms. Varney
has been a valuable member of the Company's Board of Directors since 1998.
During her tenure, she has served on the Audit Committee, Compensation Committee
and Corporate Governance and Nominating Committee.
