Item 2.02 Results of Operations and Financial Condition.

On April 23, 2009, Interphase Corporation issued a press release regarding its financial results for the quarter ended March 31, 2009. A copy of the press release is attached hereto as Exhibit 99.1 and is being furnished, not filed, under Item 2.02 of this Current Report on Form 8-K. The attached Exhibit 99.1 reflects a change as the financial statement line item 'total liabilities and shareholders' equity' which read 'total shareholders' equity' in the original press release.
