Item 2.02 Results of Operations and Financial Condition

On April 23, 2009, Cathay General Bancorp announced, in a press release, its financial results for the quarter ended March 31, 2009, and that its Board of Directors declared a cash dividend of 8 cents per common share payable May 14, 2009, to stockholders of record at the close of business on May 4, 2009. That press release is attached hereto as Exhibit 99.1.
