(a) The Registrant has accepted the resignation of Robert L. Neal, its Chief Financial Officer and Treasurer of its wholly owned subsidiary, First Surety Corporation, who will leave employment on April 30, 2009 to pursue other interests. The Registrant is in active discussions with other parties to identify and hire a replacement.
