ITEM 8.01 OTHER EVENTS.

On April 16, 2009, Central Bancorp, Inc. (the "Company") issued a press release announcing that its Board of Directors has declared a quarterly common stock dividend of $0.05 per share payable on or about May 15, 2009 to stockholders of record on May 1, 2009. A copy of the Company's press release is attached to this Report as Exhibit 99.1 and is furnished herewith.
