(d) Effective April 15, 2009, Schmitt Industries Inc. (the "Registrant") elected James A. Fitzhenry to serve as a member of its board of directors (the "Board"). This election was conducted in accordance with the Registrant's bylaws which allow the Board to expand its membership in this manner.

In connection with Mr. Fitzhenry's election to the Board, the Registrant issued a press release which is attached as Exhibit 99.1 to this Current Report on Form 8-K.
