Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
As previously reported in a Current Report on Form 8-K dated December 29, 2008,
on December 29, 2008, the Boards of Directors of PG&E Corporation and Pacific
Gas and Electric Company (Utility) elected Forrest E. Miller to serve as a
director of PG&E Corporation and the Utility, effective upon the Federal Energy
Regulatory Commission's (FERC) approval of Mr. Miller's application for
authorization to hold interlocking positions as a director of the Utility and as
an officer of AT&T, Inc. The FERC approved Mr. Miller's application on February
6, 2009. The Boards did not appoint Mr. Miller to serve on any of its committees
at the time of his election. On April 15, 2009, the PG&E Corporation Board of
Directors appointed Mr. Miller as a member of the Compensation Committee of the
PG&E Corporation Board of Directors effective May 1, 2009.
