Item 8.01 Other Events.
The Company has fixed the close of business on May 8, 2009 as the record date for the stockholders entitled to vote at its upcoming 2009 annual meeting. As previously disclosed, the Company plans to submit a recapitalization transaction to a shareholder vote at the annual meeting. The recapitalization will be subject to, among other things, the Securities and Exchange Commission ("SEC") declaration of the Company's registration statement becoming effective. The Company expects to hold the annual meeting as soon as practicable after the proxy statement is cleared by the SEC and the registration statement is declared effective.
On March 27, 2009, Tecumseh Products Company filed a preliminary proxy statement/prospectus with the SEC. Before soliciting proxies, we will provide shareholders with a definitive proxy statement/prospectus containing information about the Company and certain proposals to be presented to a vote of shareholders at its 2009 annual meeting.
