Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 10, 2009, the board of directors of WorldGate Communications, Inc. (the "Company") appointed Robert Stevanovski to serve as Interim Chief Executive Officer of the Company. Mr. Stevanovski currently serves as the Company's Chairman of the Board. The board also appointed Geoffrey M. Boyd and Richard P. Nespola as directors of the Company effective April 10, 2009. Each of Messrs. Boyd and Nespola are independent directors as defined under Rule 4200(a)(15) of the Nasdaq Marketplace Rules. In connection with their appointments to the board, Mr. Boyd was named as chairman of the Audit Committee and Mr. Nespola was named as chairman of the Compensation Committee.

There is no arrangement or understanding between Messrs. Boyd or Nespola and any other person pursuant to which they were appointed as directors of the Company. Each of Messrs. Boyd and Nespola will be eligible to participate in all non-management director compensation plans or arrangements available to the Company's directors.
