Item 7.01. Regulation FD Disclosure

On April 1, 2009, Innovative Card Technologies, Inc. ("Company") filed a Notification of Late Filing on Form 12b-25 delaying the filing of its Annual Report on Form 10-K for fiscal 2008 until on or before April 15, 2009. The Company stated the reason for the delay was its inability to obtain documentation necessary in order to prepare a complete filing without unreasonable effort or expense. The Company also disclosed that it expected to file within the extension period. As of the date of this report, the Company has still not been able to obtain all needed documentation. Notwithstanding, the Company anticipates that it will file its Annual Report on Form 10-K for fiscal year 2008 on or before April 27, 2009.
