Item 2.01 Completion of Acquisition or Disposition of Assets

Effective April 1, 2009, the Company completed the acquisition of Cortelco Systems Holding Corp. ("Cortelco") for up to $11,000,000 in cash, with the timing and amount of the cash payments based upon future earnings of Cortelco. David Lee, Chairman and CEO of eOn, is the Chairman and the controlling shareholder of Cortelco. Attached as an exhibit to this 8-K is a press release summarizing the terms of the acquisition. A copy of the amended and restated Merger Agreement among the Company, Cortelco, and a wholly-owned subsidiary of the Company, setting forth the terms and conditions of the acquisition, was filed as an exhibit to the Company's 8-K dated as of December 12, 2008.
