On April 7, 2009, Edward S. Civera tendered his resignation as a member of the
board of directors of MCG Capital Corporation, a Delaware Corporation (the
"Company"), effective as of April 7, 2009. Mr. Civera's resignation is not the
result of any disagreement with the Company, known to an executive officer of
the Company, on any matter relating to the Company's operations, policies or
practices.
