Compensatory Arrangements of Certain Officers.
Gene A. Hall, Executive Vice President of GateHouse Media, Inc. (the "Company"),
resigned as an officer and employee of the Company effective April 9, 2009. In
connection with his resignation, the Company will accelerate the vesting of all
of Mr. Hall's 108,865 outstanding restricted share grants to the effective date
of his resignation. Mr. Hall has also forfeited his previously declared bonus of
$50,000.
