Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On April 3, 2009, Onvia, Inc. (the "Company") received a letter from the NASDAQ Stock Market (the "Delisting Notice") indicating that the Company does not comply with Marketplace Rule 4450(a)(3), which requires a minimum stockholders' equity of $10 million.

The Company issued a press release announcing its receipt of the Delisting Notice, a copy of which is attached as Exhibit 99.1.
