ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF
DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY
ARRANGEMENTS OF CERTAIN OFFICERS.
On April 8, 2009, Mr. Michael J. Jacobson resigned from his position of
President of Blue Dolphin Energy Company (the "Company"). Mr. Jacobson's
resignation will be effective May 14, 2009, the date of the Company's Annual
Meeting of Stockholders.
Mr. Thomas Heath, currently Executive Vice President and Secretary of
the Company, will be appointed to the position of President upon Mr. Jacobson's
departure.
