ITEM 8.01 OTHER EVENTS.
On April 8, 2009, Ameriana Bancorp (the "Company"), the holding company
for Ameriana Bank, SB, announced that Ameriana Bank submitted an application to
the Indiana Department of Financial Institutions to convert its charter from an
Indiana savings bank to an Indiana commercial bank. Subject to regulatory
approval, the Company expects the charter conversion to be completed in
mid-2009. For more information, reference is made to the Company's press release
dated April 8, 2009, a copy of which is attached to this Report as Exhibit 99.1
and is furnished herewith.
