Effective April 6, 2009, the Board of Directors ("Board") of Secure America Acquisition Corporation (the "Corporation") approved an amendment to the Corporation's Bylaws fixing the number of directors that shall constitute the Board at five and requiring approval by the holders of at least 85% of the outstanding shares of common stock of the Corporation to amend such amended provision at any time prior to consummation by the Corporation of a business combination (as described more fully in the Corporation's final prospectus, dated October 23, 2007, relating to its initial public offering). Amendment No. 2 to the Corporation's Bylaws, as approved by the Corporation's Board and effective on April 6, 2009, is attached hereto as Exhibit 3.1.

On April 7, 2009, the Corporation issued a press release, a copy of which is attached as Exhibit 99.1, announcing the amendment of the Corporation's Bylaws.
