On March 29, 2009, Mr. Nicholas Stergis, resigned from his position as Chief Executive Officer of the Company. Mr Stergis continues to serve as Vice-Chairman of the Board of Directors of the Company.

On March 29, 2009, Steve H. Kanzer, C.P.A., J.D., the Company's Chairman of the Board, was appointed to the additional positions of Chief Executive Officer and President. Information regarding Mr. Kanzer's service with the Company, other business experience and a description of his employment agreement is included under Part III, Item 10 of the Company's Annual Report on Form 10-K for the fiscal year ended December 31, 2008, and is incorporated herein by reference.
