Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 27, 2009, the board of directors of MetroCorp Bancshares, Inc. (the "Company"), upon recommendation of the Company's Governance and Nominating Committee, voted to appoint Frank Li as a Class III director to fill a vacancy existing on the Company's board of directors, effective April 24, 2009. As a Class III director, Mr. Li will be slated to stand for re-election at the Company's 2010 Annual Meeting of Shareholders. As of the date of this filing, Mr. Li has not been appointed to a committee of the Company's board of directors, nor has it been determined when, if at all, any such appointment would be made. Mr. Li will receive fees consistent with those fees received by the existing directors for service as a director of the Company. A copy of the Company's press release announcing Mr. Li's appointment is attached hereto as Exhibit 99.1 and the information contained therein is incorporated herein by reference.
