Item 8.01 Other Events.

On March 10, 2009, Cirrus Logic, Inc. (the "Company") and the parties to the shareholder derivative lawsuits described in the Company's Form 8-K filed on March 13, 2009, entered into a Revised Stipulation of Settlement subject to the approval of the United States District Court - Western District of Texas (the "Court"). On March 25, 2009, the Court preliminarily approved the settlement and scheduled a hearing for May 28, 2009, to consider whether to provide final approval of the settlement and enter judgment thereon. The Notice of Proposed Settlement in the form approved by the Court and the Revised Stipulation of Settlement are furnished herewith as Exhibits 99.1 and 99.2.
