Item 2.02. Results of Operations and Financial Condition

On March 26, 2009, the Company held an investors' conference call to discuss the results of the fourth quarter and fiscal year ended December 31, 2008. During the call, Company's management stated that an adjustment of $6,293,000 to intangible assets was related to a reallocation of the purchase price of Mobilisa, Inc. Subsequently, it was determined that this adjustment should be recorded as an impairment to intangible assets as of December 31, 2008 rather than a reallocation of the purchase price. This change had no impact on the consolidated balance sheets or consolidated statement of operations.
